Terms of Service

Please read these Terms of Service carefully before using the DAESAIX website or engaging DAESAIX for any services. These terms constitute a legally binding agreement between you and DAESAIX.
1. Acceptance of Terms
By accessing or using the DAESAIX website (daesaix.com) or engaging DAESAIX for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
DAESAIX provides AI automation, data engineering, analytics, voice AI, SaaS development, web development, cloud infrastructure, and related technology consulting services to businesses in the USA, Canada, and internationally. The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) executed between DAESAIX and the client.
3. Engagement Terms
Each client engagement is governed by a written Statement of Work agreed upon by both parties prior to commencement of work. The SOW defines the project scope, milestones, acceptance criteria, payment schedule, and any special terms. These Terms of Service apply to all engagements unless expressly superseded by the executed SOW or MSA.
4. Payment
Fees for services are as specified in the applicable SOW. Unless otherwise agreed, invoices are due within fourteen (14) days of issuance. Late payments may be subject to interest at the rate of 1.5% per month. DAESAIX reserves the right to suspend work on any engagement where payment is overdue by more than thirty (30) days.
5. Intellectual Property
Upon receipt of full payment for a project, DAESAIX assigns to the client all rights in custom deliverables developed specifically for that client, as defined in the SOW. DAESAIX retains all rights in its pre-existing tools, frameworks, methodologies, and general knowledge developed independently of any client engagement. Any open-source components used in deliverables remain subject to their respective licenses.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of an engagement. This obligation survives termination of the engagement for a period of three (3) years. A more detailed non-disclosure agreement may be executed separately if required.
7. Warranties and Representations
DAESAIX warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DAESAIX DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
To the maximum extent permitted by applicable law, DAESAIX's total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to DAESAIX in the three (3) months preceding the claim. In no event shall DAESAIX be liable for any indirect, incidental, special, consequential, or punitive damages.
9. Termination
Either party may terminate a project engagement with thirty (30) days written notice. In the event of termination, the client shall pay for all work completed and non-cancellable expenses incurred up to the termination date. DAESAIX reserves the right to terminate immediately if the client materially breaches these terms or the applicable SOW.
10. Governing Law
These Terms of Service and any disputes arising under them shall be governed by and construed in accordance with the laws of the United States applicable to the state where DAESAIX is registered, without regard to conflict of law provisions. Any disputes not resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
11. Changes to These Terms
DAESAIX reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after any changes constitutes acceptance of the new terms.
